Terms of Sale and License

These terms cover buying and using Sync Stacker, a panel (extension) for Adobe Premiere Pro on Windows and Mac, made by PashaK Media LLC ("we", "us"). By buying or using Sync Stacker you agree to them. If you don't agree, don't buy or use it. Nothing in these terms limits rights you have under consumer law that can't be waived.

1. Who sells it

Orders are processed by Polar Software, Inc. ("Polar"), our online reseller and merchant of record. Polar takes your payment, issues your receipt and invoices, and handles sales tax and VAT. Your purchase is also covered by Polar's Buyer Terms. Your license to use Sync Stacker comes from us, under these terms.

2. Plans and billing

Subscription

A subscription gives you Sync Stacker, including the updates and new features we release while your subscription is active.

• Weekly: billed each week, $2.99 a week.
• Monthly: billed each month, $4.99 a month.
• Yearly: billed each year, $19.99 a year.
• Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel anytime in the customer portal. Canceling takes effect at the end of the period you've already paid for, and you keep access until then.

One-time purchase

For a single payment of $39.99 you get a license to Sync Stacker version 3, including the bug-fix updates we release for version 3. Features added after version 3 are released to subscribers and aren't included.

No free trial

There is no free trial. The weekly plan is the lowest-cost way to try Sync Stacker.

Prices

Prices are in US dollars, for one computer. Sales tax or VAT is calculated at checkout. We may change prices. A new subscription price applies from your first renewal after we tell you about it, and you can cancel before then.

3. Your license

Once you've paid, we give you a non-exclusive, non-transferable license to install and use Sync Stacker, for personal or business use, on one computer (Mac or Windows) that you own or control, for each license you buy. If you buy for a business, its employees and contractors may use Sync Stacker on that computer for that business.

Your license comes with a license key. It is active on one computer at a time, and you can move it by deactivating it in the panel or in the customer portal, then activating it on the other computer. The panel checks the key online about once a day and keeps working offline for up to 7 days; see the privacy policy for what it sends.

• Subscription license: lasts while your subscription is active, including the paid time after you cancel. When the subscription ends, so does your right to use Sync Stacker under it.
• One-time license: doesn't expire, unless it ends because you break these terms.

You may not:

• share, sell, rent or sublicense Sync Stacker, your license, your license key or your download links
• use Sync Stacker on more computers than you have licenses for
• remove or get around license checks
• reverse engineer, decompile or disassemble the software, except where the law allows it despite this limit

4. Premiere Pro

Sync Stacker works inside Adobe Premiere Pro, version 2021 (15.4) or later, which you need to license from Adobe separately. The syncing itself is done by Premiere Pro's Synchronize command. Adobe can change Premiere Pro at any time, and a change may affect Sync Stacker until we update it. We can't promise that Sync Stacker will work with every version of Premiere Pro, or that Synchronize will line up every clip.

5. Your projects

Sync Stacker moves clips in the sequence you have open, on your own computer. It doesn't change your media files, and it doesn't send your projects or media to us. The edits you make with it are yours. Each step can be undone in Premiere Pro, but please keep backups of important projects.

6. Refunds and cancellation

All sales are final. The refund policy explains cancellation and how we handle billing mistakes.

7. Updates and support

We may update Sync Stacker to fix problems, add features or keep it working with new versions of Premiere Pro and operating systems. For help, email help@premieresync.com. Please check the system requirements before you buy.

8. No warranty

To the fullest extent the law allows, Sync Stacker is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limit of liability

To the fullest extent the law allows, we aren't liable for indirect, incidental, special or consequential damages, or for lost data, projects, footage or profits. Our total liability for any claim is limited to what you paid for Sync Stacker in the 12 months before the claim. Some places don't allow these limits, so they may not apply to you.

10. Ending the license

If you break these terms, we may end your license by telling you. You must then stop using Sync Stacker and delete it.

11. Trademarks

Adobe and Premiere Pro are either registered trademarks or trademarks of Adobe in the United States and/or other countries. Sync Stacker is an independent product for Adobe Premiere Pro and is not made, sponsored or endorsed by Adobe. Other product names are trademarks of their owners.

12. Changes to these terms

We may update these terms. The date at the top shows the current version. Changes apply to purchases and renewals made after they're posted.
